SOW Specifications

The pricing, timing and other terms of this Proposal / SOW are dependent upon the following specifications. The parties acknowledge and agree that if any of the following specifications are not fully realized, a modification to the Services and/or an equitable adjustment in the pricing may be required pursuant to an amendment to this SOW. The parties will work together utilizing a change control mechanism to minimize the impact on price and the delivery of the Services.

Delmar will deploy this Project solely in accordance with Delmar’s proven methodology. Any requests made by the Client regarding deployment methodology, including but not limited to, project team structure, project documentation, text environments, and security protocol adherence must be included in the documentation of this Scope of Work or will be considered a change in scope.

Delmar does not warrant any third-party materials. Procurement of all third-party materials is the responsibility of the Client. Delmar shall have no liability for any delays and/or damages caused by the lack of functionality of the third-party materials and/or the acts or omissions of Client or third-party providers and/or services performed other than by Delmar. Any description of software or hardware performance is based on information available to the public and is not a representation being made by Delmar.

Prior to the commencement of the Project, Client will designate and identify to Delmar one (1) executive-level person within the Client’s organization (“Executive Sponsor”) who has the power and authority to make final decisions and resolve issues with regard to the project and client functional/business requirements. The Executive Sponsor will be available as needed.

All work to be done at Delmar locations unless specifically mentioned under the deliverables section. For onsite Delmar consulting, the Client will provide Delmar with suitable working space at the designated facility, or such other mutually agreeable facility. Facilities must be available at the start of the Project and shall include adequate environmental controls: lighting, telephones and network access including access to the World Wide Web via the Intranet, with free unescorted ingress and egress.

For Delmar consulting, the Client will provide to Delmar administrator access to HubSpot and all related technology solutions.

If Client chooses to have certain portions of the Services performed at the Client location, Client will be responsible for travel and related expenses. Delmar will obtain prior, written authorization from Client prior to booking on-site services. Delmar will also discuss with Client any required additional administrative expenses (advertising, etc.) prior to any expenditure being made.

Payments for such invoices are due net thirty (30) days from date of invoice.

This Proposal defines the complete project scope. The scope and objectives will be confirmed during the planning phase. If it is determined that the scope will change, this may affect the cost and schedule of the implementation effort. Any such changes will be reviewed and approved by the Client in writing, according to the change control process.

The Client will provide unlimited access to the required subject matter experts throughout the engagement. Delmar may rely upon the data and information provided by Client. This SOW involves a collaborative effort by the parties and Delmar will rely upon Client’s participation. Client acknowledges the results will be based, in part, upon the information, materials, and guidance provided by Client.

Implementation services of functionality not explicitly described in this Proposal are outside the scope of this project.

The Proposal doesn’t include any custom coding or development.

  • Communicates company objectives, project goals, and deliverables
• Project Manager
  • Delmar’s main point of contact for this initiative
  • Responsible for scheduling Client resources
  • Responsible for making sure Client resources complete agreement on deliverables in a timely fashion
  • Responsible for getting appropriate Client approvals for Delmar deliverables
